By accessing or using Avyrox Solutions' website and services, you agree to be bound by these Terms of Service. If you disagree, you may not access our Services.
Description of Services
Avyrox Solutions provides AI-powered platform development services, including custom AI platform development, cloud infrastructure, ML model development, consulting, and platform hosting.
Eligibility
You must be at least 18 years old and have the legal authority to enter into these Terms.
User Accounts
When creating an account, you agree to provide accurate information, maintain security, notify us of unauthorized access, and be responsible for all activities under your account.
We reserve the right to suspend or terminate your account if you violate these Terms, engage in illegal activities, pose a security risk, or fail to pay for Services.
Acceptable Use
You agree not to use our Services for illegal purposes, violate laws, infringe intellectual property, transmit malware, gain unauthorized access, interfere with services, harass others, collect user data without consent, or impersonate others.
Intellectual Property
All content and functionality of our Services are owned by Avyrox Solutions and protected by intellectual property laws. You retain ownership of content you submit but grant us a license to use it for providing our Services.
Payment Terms
Fees are specified in service agreements or invoices. Payment is due according to agreement terms. Late payments may incur interest charges. We reserve the right to suspend services for non-payment.
Refund policies are specified in agreements. Generally, service fees are non-refundable after work begins.
Data and Privacy
You retain ownership of your data. We process data according to our Privacy Policy. We implement security measures to protect your data. You are responsible for backing up critical data.
Our Services support SOC 2, HIPAA, and GDPR compliance requirements.
Service Level and Availability
We strive for 99.9% uptime for production systems. Scheduled maintenance will be announced in advance. Emergency maintenance may occur without notice.
Services are provided "as is" without warranties of merchantability, fitness for a purpose, non-infringement, or uninterrupted operation.
Limitation of Liability
To the maximum extent permitted by law, we are not liable for indirect or consequential damages. Our total liability is limited to fees paid in the 12 months preceding the claim.
Indemnification
You agree to indemnify Avyrox Solutions from claims arising from your use of Services, violation of these Terms, violation of others' rights, or violation of laws.
Confidentiality
Both parties agree to protect confidential information, use it only for authorized purposes, not disclose it to third parties without consent, and return or destroy it upon request.
Termination
You may terminate by closing your account or ceasing use. We may terminate immediately for breaches, legal requirements, or service discontinuation.
Upon termination, your right to use Services ceases, you remain liable for outstanding fees, and survival clauses continue to apply.
Dispute Resolution
These Terms are governed by California law. Disputes not resolved through negotiation will be resolved through binding arbitration in San Francisco following AAA Commercial Arbitration Rules. Each party bears their own costs unless otherwise awarded.
Claims for injunctive relief, intellectual property matters, and small claims are exempt from arbitration.
General Provisions
We may modify these Terms at any time with notification. These Terms, Privacy Policy, and service agreements constitute the entire agreement. If any provision is unenforceable, remaining provisions remain in effect.
Our failure to enforce any right does not constitute a waiver. You may not assign these Terms without our consent. We may assign to affiliates or successors.

Special Provisions
Beta services are provided "as is" and may change or be discontinued at any time. Third-party service use is subject to their terms. You agree to comply with export control laws. For U.S. Government users, our Services are "commercial items" with rights as specified in these Terms.
